1. Service description

Replyion provides a multi-tenant AI patient coordinator that operates over WhatsApp on behalf of medical clinics. The service includes the agent runtime, the operator console, the dashboard, and the analytics layer. Clinics enter into a separate Data Processing Agreement (DPA) governing patient data.

2. Subscription terms

Subscriptions run monthly or annually as selected at sign-up. Beta cohort pricing is locked for 24 months from go-live. Standard and Pro tiers are subject to the published rates at the time of contract.

3. Payment

Payment is processed by Stripe (see subprocessors). Invoices are issued at the start of each billing cycle. Late payment after 14 days incurs legal interest per Spanish Law 3/2004. Suspension of service after 30 days. Termination after 60 days.

4. Cancellation

Cancel any time after the third month with 30 days' written notice. No fees, no clawbacks. Pre-paid annual fees are pro-rated and refunded for the unused portion. Patient data export is provided per the DPA.

5. Limitation of liability for AI output

The agent's responses are AI-generated. Replyion provides hard-coded escalation rules for any medical-decision or symptom language, routing those messages to the clinic's on-call team without an AI response. Replyion is insured for €1M against AI-output errors. Beyond that, total annual liability is capped at the fees paid in the preceding 12 months. We do not exclude liability for fraud, gross negligence, or matters that cannot be excluded under Spanish law.

6. Acceptable use

Replyion is for medical clinics that comply with applicable healthcare law in their jurisdiction. The service may not be used to: contact individuals without a lawful basis; offer services not legally provided in the clinic's jurisdiction; bypass WhatsApp Business Platform policies; or for any illegal purpose.

7. Termination

Either party may terminate for material breach with 14 days' written notice if uncured. We may terminate immediately for repeated abuse of the service or violation of acceptable use.

8. Governing law

These Terms are governed by the laws of Spain. Disputes are subject to the exclusive jurisdiction of the courts of Barcelona.
